DownTown Dreamer Board of Directors Code of Conduct

As a Board and/or Committee Leader, I pledge to do my best for DownTown Dreamers cooperative and will:

1.     Devote the time needed to fulfill the responsibilities of the position;

2.     Make it a priority to attend and participate in all regular and special board meetings and committee meetings of which I am a member;

3.     Be prompt, attentive, and prepared for all board and committee meetings;

4.     Respect the rights of others to communicate their ideas, while contributing to and encouraging open and thorough discussions;

5.     Attend and actively participate in the board's training sessions and annual planning retreat to enhance board understanding and cohesiveness;

6.     Consider the business of the DTD and its members to be confidential in nature when specified by board decision or law regarding right to privacy and to hold the identity of individual board members' opinions in confidence;

7.     Disclose any personal organizational conflict of interest that I may have and refrain from discussing or voting on any issues related to that conflict;

8.     Be honest, helpful, diligent, and respectful in my dealings with the DTD, with other directors, and with the DTD officers and members;

9.     Work for continued and increased effectiveness in the DTD ability to serve its members.

10.   Agree to abide by the majority action of the board, even if it is not my own personal opinion;

11.   Present the agreed-upon view of the board of directors, rather than my own, when I speak for the DTD to members, and the general public;

12.   Refrain from asking for special privileges as a board member;

13.   Refrain from interfering with Officer’s authority;

14.   Work to encourage the participation of all members and to ensure that the DTD is controlled in a democratic fashion by its members;

15.   Strive at all times to keep members informed of the DTD status and plans, and of the board's work;

16.   Continually seek to learn more about the DTD and its operations and about my responsibilities as a board member by pursuing sponsorship opportunities.

17.   Conduct my business and professional activities with honesty, and integrity and project a professional image in all aspects of my business.
